7. Church Boards and Officers (from Code of Regulations  Sept. 1998)

a. Elected Officers

(1) Moderator

·        presides at all business meetings of the Church and Church Board

·        obligated to see that all elected officials and appointed committees perform their respective duties

·        elected at the annual meeting

·        serves a two-year term.

·        may not be elected for two consecutive terms

(2) Associate Moderator

·        assists the Moderator in the discharge of the Moderator’s duties and obligations

·        assumes the Moderator’s duties in his absence

·        elected at the annual meeting

·        serves a two-year term.

·        may not be elected for two consecutive terms

(3) Clerk

·        acts as secretary of the Church and Church Board

·        keeps records o the proceedings of all business meetings

·        performs duties regularly pertaining to office of Clerk or Secretary of an assembly

·        elected at the annual meeting

·        serves a one-year term.

(4) Treasurer

·        receives, disburses and accounts for all monies of the Church including permanent or endowed funds, as authorized by the Church Board

·        gives an accounting to the Church membership or Board whenever called upon

·        shall be bonded with any cost incurred paid by the Church

·        elected at the annual meeting

·        serves a one-year term.

(5) Associate Treasurer

·        assists the Treasurer in discharge of the Treasurer’s duties

·        shall be bonded with any cost incurred paid by the Church

·        elected at the annual meeting

·        serves a one-year term.

b. Elected Committees

(1) Elders

·        actively assist the Minister or Ministers in the spiritual work of the Church

·        arrange for substitution in the event of the absence of the regular Ministers

·        shall have charge of assistance in the Communion service

·        act as liaison between Ministers and the Board with regard to discharge of their duties

·        act as liaison between the Director of Music and the Organist and the Board with regard to the discharge of their duties

·        shall pass upon the usage of the Church premises, by any and all non-Church related groups desiring to use the Church

·        one Elder, selected by the Chairman, shall be a representative to the Deacons

·        one Elder, selected by the Chairman, shall be a representative to Missions

·        they shall be responsible for personnel policies

·        shall institute a system for written annual performance reviews for all staff positions

·        shall receive reports from Stephen Ministry, Shepherds, Prayer Chain and any other care-giving programs

·        six Elders, each with a three-year term

·        two terms of office shall start each year

·        two new Elders elected at the annual meeting

(2) Deacons

·        shall work with the Elders and Ministers to promote the influence of the Church and to assist with the worship service

·        shall arrange for a staff of ushers for all public services of worship

·        shall assist the Elders as required in the Communion service

·        shall prepare the Elements for the Communion service and prepare the chapel for service

·        shall coordinate the acolyte program

·        shall, among themselves, select a chairman who shall be responsible for the activities of the group

·        eighteen elected officers – nine men and nine women, each with a three-year term

·        six terms of office, three of each gender shall start each year

·        three men and three women elected at the annual meeting

(3) Trustees

·        shall act to maintain and preserve all physical properties of the Church

·        shall act to protect the Church against liability and loss of property

·        shall engage persons need to accomplish the above

·        shall act as trustees of all lands and buildings held in corporate name of the Church

·        shall act as trustees of all permanent funds and endowments unless otherwise provided for

·        shall act as trustees and custodians of all legal documents and related papers pertaining to the physical properties of the Church

·        may make lease arrangements covering properties not in use for regular Church programs

·        shall not dispose of or encumber any lands or buildings except in manner prescribe by action of the Church membership in a business meeting

·        shall authorize, with Board approval, the specifications, appearance and placement of all memorial plaques and other signage.

·        shall act in legal matters where necessary to sign the corporate name of the Church

·        shall establish, publish and review, at least once a year, a schedule of fees or rentals to be charged for the use of Church properties

·        six Trustees, each with a three-year term

·        two terms of office shall start each year

·        two new Trustees elected at the annual meeting

(4) Membership

·        are charged with expanding membership of the Church and developing orientation programs for new members

·        shall work with the Senior Minister in these duties

·        six members, each with a three-year term

·        two terms of office shall start each year

·        two new members elected at the annual meeting

(5) Fellowship

·        shall develop programs for integrating new members in to the Church

·        shall work at involving current members in Church activities

·        shall oversee the Receptions Committee

·        six members, each with a three-year term

·        two terms of office shall start each year

·        two new members elected at the annual meeting

 (6) Missions Directors

·        shall lead and develop the missions program of the Church

·        shall promote awareness of Christian service programs

·        shall direct the expenditure of funds for these purposes allocated in the budget or received in special collections

·        six members, each with a three-year term

·        two terms of office shall start each year

·        two new members elected at the annual meeting

 (7) Endowment Fund Directors

·        shall have one vote on the Church Board

·        six elected Directors, with staggered three-year terms

·        in 2006 two Directors elected for a one-year term, two for a two-year term and two for a three-year term.

·        two terms of office shall start each year

·        two new members elected at the annual meeting

·        vacancy occurring during a term shall be filled by the Church Board for the unexpired term of such vacancy

·        shall meet at least quarterly

·        shall formulate their own rules of procedure

·        shall elect a Chairperson.

·        Chairperson shall be responsible for calling meetings and coordinating their individual efforts on behalf of the Endowment Fund

·        Four directors shall constitute a quorum

·        There must be a quorum for approval of any transactions

 (8) Christian Education

·        shall study, devise and promote programs in the area of Christian Education and training for the whole Church apart from the regular worship program

·        shall supervise the execution of the above programs

·        shall supervise Sunday School and youth programs

·        shall appoint supervisory help

·        shall work with a staff member employed to direct its educational programs

·        nine elected members, each with a three-year term.

·        three terms of office shall start each year

·        three new members elected at the annual meeting

 (9) Stewardship Directors

·        lead the Church Board in developing the stewardship and financial programs of the Church

·        responsible for overseeing the time and talent program and ongoing stewardship education

·        shall, among themselves, select one Director to be chairman of Stewardship

Ø      directs the financial program of the Church

Ø      prepares an itemized annual budget  which must have Board approval

Ø      arranges for an annual audit of the Church financial records by a professionally qualified person.

c. Appointed Committees – named by the moderator and subject to Board approval

(1) Archivists

·        responsible to the Church Board to carry out assigned responsibilities

·        report directly to the Board

·        responsible to identify, collect and preserve all items and records pertaining to the history of the Church

·        will collect such items as Annual reports, copies of the Spires, newspaper articles, et., as records of Church activities

·        may obtain help from the trustees to carry out responsibilities

·        will organize and index collections to facilitate retrieval of information from the files

·        will assist persons looking for information that may be in the collections

·        periodically display significant material from the collections.

·        must be Church members for at least ten years

·        must be recommended by other Archivists

·        appointed for staggered terms of three years.

(2) Endowment

·        shall manage and oversee the Endowment Fund and investment of the same

·        shall be responsible for educating the congregation on Endowment

·        shall develop programs for soliciting contributions to the Endowment Fund

·        three elected Directors + two appointed by the Moderator for staggered terms of two years

(3) Long Range Planning

·        responsible for recommending and maintaining a long-range plan for the Church

·        responsible for identifying upcoming needs

·        Moderator will determine the number of members needed

·        Associate Moderator shall serve as chairman of this committee

·        members will have staggered two-year terms

(4) Memorials

·        shall report directly to the Church Board through a nonvoting member on the Board

·        shall receive, acknowledge and disburse memorial gifts not in the Endowment Fund

·        shall keep accurate records of all memorial gifts

·        shall have seven members

(5) Nominating

·        shall propose, at the annual meeting of the Church during the month of January, a list of nominees to fill the offices that have become vacant

·        shall have one member from each operating committee, as chosen by each committee

·        in addition four appointed members who are not church officeholders nor appointees to other Church committees

·        Moderator shall name a member to serve a two-year term, assistant chairman the first year and chairman the second year

(6) Reception

·        shall be responsible for regular and special receptions including Sunday coffee hours

·        shall report to the Church Board through the Fellowship Committee

·        shall have twelve members, consisting of men and women

·        shall elect a chairman among themselves who will serve as an ex officio member of the Fellowship Committee
